These Terms and Conditions ("Terms") govern your use of our website located at newsocietymedia.us (the "Site") and any services, content creation, social media management, graphic design, and paid advertising management provided by New Society Media LLC ("Company", "we", "our", or "us").

1. SERVICES & PROPOSALS

New Society Media provides digital marketing, brand identity, social media management, content creation (including short-form video/social reels), and Meta paid advertising management.

Scope of Work: The specific details, deliverables, timelines, and fees for your project will be outlined in a separate Statement of Work (SOW), Proposal, or Service Agreement. Those specific project terms will override these generic website terms in the event of a conflict.
Client Cooperation: Our ability to deliver high-quality, lead-generating funnels relies heavily on your cooperation. You agree to provide necessary branding assets, access to accounts (Meta Business Manager, social profiles), timely feedback, and approvals. Delays in providing assets may result in project delays.

2. FEES, BILLING, AND PAYMENTS

Payment Terms: Fees for monthly recurring packages (e.g., The Launch Pad, The Orbit, The Lunar Mission) or fixed-price design packages are billed in advance. Payments are due upon receipt of the invoice or on the recurring monthly date specified in your agreement.
Late Payments: We reserve the right to pause all active services, content creation, and active ad campaigns if an invoice remains unpaid for more than seven (7) business days past its due date.
No Refunds: Due to the nature of creative labor, custom strategy, and ad management, all payments made to New Society Media are non-refundable.

3. PAID ADVERTISING MANAGEMENT (META PLATFORMS)

If you hire us to manage paid advertising campaigns:

Ad Spend: All ad spend budgets are paid directly by the Client to the respective platform (e.g., Meta/Facebook/Instagram). New Society Media’s fees are strictly for the management, strategy, optimization, and creation of the assets.
No Guarantees: While we utilize data-driven planning and A/B testing (such as our Week 2 Loom Audits), New Society Media cannot guarantee specific conversion rates, lead volumes, or exact ROI, as platform algorithms and market behaviors fluctuate.

4. CONTENT SHOOTS, VIDEOGRAPHY & CANCELLATIONS

For packages that include on-site branding photography, system content, or social reel filming:

Scheduling: Shoots must be scheduled at least [Insert Number, e.g., 14] days in advance.
Cancellations/Rescheduling: If you need to cancel or reschedule a confirmed content shoot, you must provide at least forty-eight (48) hours' notice. Cancellations made with less than 48 hours' notice may be subject to a rescheduling fee of $[Insert Amount] to cover pre-production and crew allocation costs.

5. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property: All content on newsocietymedia.us—including text, graphics, logos, video examples, and case studies—is the property of New Society Media and protected by copyright laws.
Client Deliverables: Upon full and final payment of all outstanding invoices, New Society Media grants the Client full ownership and rights to use the finalized custom video reels, graphic designs, and copy created specifically for the Client's marketing.
Usage Rights for Agency Promotion: Unless otherwise agreed upon in writing, New Society Media retains the right to display raw footage, finalized content, and performance metrics (e.g., lead generation results) in our portfolio, website, and social media for promotional purposes.

6. CONFIDENTIALITY

Both parties agree to keep all proprietary information, trade secrets, sales data, customer lists, and strategic business planning discussed during the discovery or campaign phases completely confidential.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, New Society Media LLC, its directors, employees, or interns shall not be liable for any indirect, incidental, special, or consequential damages resulting from:

Fluctuations or disruptions in third-party social media platform algorithms (Meta, Instagram, TikTok, etc.).
Temporary ad account suspensions or rejections enforced by Meta's automated ad policies.
Any loss of profits, revenue, or data stemming from your use of our services or website. Our total liability to you for any claim arising out of our services shall not exceed the total amount paid by you to us during the one (1) month prior to the claim.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless New Society Media LLC from any claims, damages, liabilities, and costs (including legal fees) arising from content, claims, trademarks, or business practices you authorize us to post or promote on your behalf.

9. TERMINATION

Retainer Contracts: Monthly rolling services may be terminated by either party by providing a written notice [Insert Number, e.g., 30] days prior to the next billing cycle.
Breach: We reserve the right to terminate our relationship immediately if a Client engages in abusive behavior toward our team, fails to pay, or violates intellectual property agreements.

10. GOVERNING LAW

These Terms and any disputes arising out of your relationship with New Society Media shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any legal actions must be filed in courts located in Pinellas County, Florida.
